PRIVACY POLICY
Processing of Personal Information
In this clause , the following terms shall bear the following meanings:
“Group” means OpenBox.Africa, its holding company and the subsidiaries, affiliates and sister-
companies of OpenBox.Africa and/or its holding company;
“Personal Information” means information relating to an identifiable, natural or juristic person,
as defined in POPI;
“Process” means any operation or activity, whether automated or not, concerning Personal
Information, as defined in POPI and “Processing” shall have a similar meaning;
“POPI” means the Protection of Personal Information Act, No. 4 of 2013 as amended, replaced or
re-enacted from time to time; and
“Data Subject” shall mean each of the Supplier and the Debtor(s).
OpenBox.Africa shall be entitled, on receipt of the Supplier’s Offer and at any time thereafter, at
its discretion and without any further action being required on its part, to; request and receive any
of the Data Subject’s, and any of the Data Subject’s shareholders, directors, members, partners
or the like, confidential information, commercial information, consumer credit information and
Personal Information from any credit bureau, other register or any third party or API at any time,
including any bureau score, or any South African Credit and Risk Reporting Association or
SACRRA Payment Credit and Risk Data and any information that would usually be masked (if
required), whether in online or batch form, for the Purpose outlined below, to verify the existence
of a bank account, to access bank account statements, to verify the Data Subject’s information
(and any information of its shareholders, directors, members, partners or the like), to manage the
Data Subject’s account on the OpenBox.Africa System, to conduct a risk assessment of the Data
Subject and to manage any ongoing risk relating to OpenBox.Africa’ relationship with the Data
Subject, including the collection of any Approved Claim from theApproved Debtor.
OpenBox.Africa may also share any confidential information, commercial information, consumer
credit information and Personal Information held by it (including information regarding non-
compliance with any obligations under this Agreement or any Invoice), with its Group, with any
other persons using the OpenBox.Africa System, with any APIs used by the Data Subject through
an interface with the OpenBox.Africa System and with any credit bureau for, amongst other
things, the purposes of such credit bureau sharing such information with potential data users,
credit providers and credit bureaus; and
- collect and Process the Personal Information of the Data Subject, and any of its’ shareholders,
directors, members, partners or the like, as follows:
- to carry out statistical and other analysis to identify potential markets and trends, and to
develop new products and services;
- to provide the discounting services in respect of each Accepted Invoice, and to manage the debt
of the Debtor until this has been repaid in full and/or closed;
- to directly market to the Data Subject any products and services or special offers of
OpenBox.Africa or other parties carefully selected by OpenBox.Africa, via electronic
communication methods
- collect Identity Verification and Payment Information, which includes images of your government-issued ID and proof of residence, your company registration documents or other verification information or payment account information (as permitted and required by applicable laws such as the Financial Intelligence Centre Act for us to provide our services to you); and
- in accordance with, and as otherwise permitted by law, (where all of the purposes in shall
collectively be referred to as the “Purpose”); and Process the Data Subject’s Personal
Information, and the Personal Information of any of its shareholders, directors, members,
partners or the like, within the Group for the above Purpose; and; disclose the Data Subject’s
Personal Information, and the Personal Information of any of its shareholders, directors,
members, partners or the like, to any principal of OpenBox.Africa, or any person who provides
services or funding to OpenBox.Africa or acts as agents of OpenBox.Africa or to any API used by
the Data Subject through an interface with the OpenBox.Africa System or to any person to whom
OpenBox.Africa has transferred or proposes to transfer any of OpenBox.Africa’ rights in respect
of the Debtor’s accounts; and determine the means for Processing the Data Subject’s Personal
Information and the Personal Information of any of its’ shareholders, directors, members,
partners or the like, and remain responsible for this; and; collect some of the Data Subject’s
Personal Information, and the Personal Information of any of its shareholders, directors,
members, partners or the like, as may be required or permitted by law; and; request and use any
information from the Supplier regarding the financial standing of any Debtor, including such
Debtor’s trading history with the Supplier, and bank account details and bank reports and other
reports, which may be in its possession or be known to the Supplier, for the purpose of deciding
upon the acceptance or otherwise of such Offer, and the Supplier undertakes to make all such
information available to OpenBox.Africa; and ; request and use any information from any Debtor
regarding the financial standing of the Supplier, including such Supplier’s trading history with the
Debtor, and bank account details and bank reports and other reports, which may be in its
possession or be known to the Debtor, for the purpose of deciding upon the acceptance or
otherwise of such Offer, and the Debtor undertakes to make all such information available to
OpenBox.Africa; and; contact an Approved Debtor directly to verify the Invoice, and any proof of
delivery or other information related to that Invoice, offered to OpenBox.Africa by the Supplier,
and the Supplier acknowledges that the provision of the Data Subjects’ confidential information,
commercial information, consumer credit information and Personal Information for the Purpose
is mandatory to OpenBox.Africa and, without it, OpenBox.Africa may be unable to offer or
continue to offer invoice discounting services to the Supplier and/or Debtor and, accordingly, the
Supplier hereby consents (and consents on behalf of its’ shareholders, directors, members,
partners or the like) for OpenBox.Africa to carry out such enquiries on the Supplier and to Process
its Personal Information, and the Supplier hereby further undertakes the responsibility to obtain,
and warrants that it will obtain, before any Offer is made by it to OpenBox.Africa, all and any
necessary consents from the Debtor and, where necessary, its’ shareholders, directors,
members, partners or the like, for OpenBox.Africa to carry out such enquiries and Process the
Personal Information.
OpenBox.Africa shall be entitled to retain all of the information referred to in the above for a period
of 5 years after the de-registration of the Debtor from the OpenBox.Africa system, or for such
other periods as may be prescribed or permitted by law, whichever is the longer. OpenBox.Africa
shall not be obliged to disclose any confidential information, commercial information, consumer
credit information or Personal Information to the Data Subject, but should it do so, the Data
Subject shall treat such information in strict confidence and shall not allow such information to
be passed on to any other person and OpenBox.Africa shall incur no responsibility or liability
whatsoever should such information prove to be incorrect or untrue.
The Supplier hereby indemnifies OpenBox.Africa and holds it harmless against any claim of
whatsoever nature brought against OpenBox.Africa by any person whatsoever, arising out of such
statement made or information given.
